Mr. Dalton has represented numerous companies that engaged in common carrier services, private carriage, and Internet services, as well as investors withing the telecommunications sector.  This has involved a broad range of applications, including regulatory compliance, day-to-day sales and operations support, and mergers and acquisitions.  Examples of specific services include:

Drafting and negotiating form contracts including NDA, MSA, IRU, Dark Fiber, and Colocation and Data Center agreements.

Regulatory compliance including:

  • Forming CLECs and completing annual filings.
  • Researching and advising on the distinctions between common carriers subject to broader FCC and state regulation and private carriage companies.
  • Resolving disputes with the National Telecommunications and Information Administration over the sale of Broadband Technology Opportunity Program networks.
  • Resolving a dispute with a state public utility commission over the change in control of a CLEC.
  • Researching licensing obligations for wireless Internet applications.
  • Researching obligations under environmental laws impacting development of a wireless Internet network.
  • Advising landowners on proposed macro cell tower development proposals.
  • Universal Service Fund collection obligations and 499-Q and 499-A reporting.
